These Terms of Service (“Terms”) govern access to and use of the Cognexo platform, including any related web application, mobile experience, and any Microsoft Teams, Slack or email integrations, together with any content, features or functionality made available through it (the “Platform”). The Platform is provided by Intuitive Learning Limited, trading as Cognexo (“Cognexo”, “we”, “us”, “our”), a company registered in England and Wales with company number 10605207, whose registered office is at Cognexo, Platform, New Station Street, Leeds, West Yorkshire, LS1 4JB, United Kingdom.
Cognexo is a business-to-business workforce readiness platform. We provide the Platform to organisations (“Customers”) under a separate written agreement between Cognexo and the Customer (an order form, subscription agreement or similar, together the “Customer Agreement”). If you are accessing the Platform, it is because a Customer — typically your employer — has arranged for you to do so as one of its “Authorised Users”.
These Terms sit alongside, and do not replace, the Customer Agreement. They govern your personal use of the Platform as an Authorised User. Commercial terms of the subscription — including fees, contract length, service levels and data processing arrangements — are agreed directly between Cognexo and the Customer, not with you individually.
If you are simply visiting our public website at www.cognexo.com and have not logged into the Platform, our separate website terms of use apply instead.
By logging into or otherwise using the Platform, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Platform, and should raise this with your organisation’s Cognexo administrator.
We may update these Terms from time to time, for example to reflect changes to the Platform or to applicable law. Where we make material changes, we will take reasonable steps to notify Customers or Authorised Users — for example by email or an in-Platform notice — before the changes take effect. Continuing to use the Platform after that point means you accept the updated Terms.
The Platform is intended for use by individuals who have been invited or registered by a Customer as an Authorised User in connection with their employment or engagement with that Customer. It is not directed at, and must not be used by, members of the public.
Your access is personal to you. You must keep your login credentials confidential and must not share your account with, or allow access by, anyone else, including colleagues.
The Customer (normally your employer) controls certain aspects of your use of the Platform, including:
whether you have access to the Platform at all, and for how long;
which topics, campaigns and content you receive;
who within the Customer’s organisation can see your results and progress data, in line with the Customer’s own internal policies; and
whether your access continues if your employment or engagement with the Customer ends.
If your employment or engagement with the Customer ends, or the Customer’s agreement with Cognexo ends, your access to the Platform may be suspended or removed. Questions about why you do or do not have access to particular content should be directed to your employer in the first instance, since we act on their instructions in these respects.
Cognexo is a workforce readiness platform. It measures how aligned, capable, confident and compliant an organisation’s people are — not simply whether training has been completed — through short, regular activities delivered to you via channels such as Microsoft Teams, Slack, email or a web browser. Depending on which parts of the Platform you use, this may include:
Broadcast — short messages, announcements or acknowledgements from your organisation;
Develop — brief, recurring questions that build and reinforce your knowledge over time;
Assess — formal, point-in-time tests on specific topics; and
Survey — questions about your confidence, sentiment or opinions.
We may add, change or remove features of the Platform from time to time. We will try to give reasonable notice of any change that materially reduces the Platform’s functionality, but we cannot guarantee that every feature will remain available indefinitely.
We aim to keep the Platform available as much as reasonably possible, but we do not guarantee uninterrupted or error-free access. We may need to suspend access for maintenance, updates, or for reasons outside our reasonable control — for example, a fault with a third-party service such as Microsoft Teams or Slack. Where practical, we will give notice of planned maintenance likely to cause a material interruption.
Nothing in this section overrides any specific service levels agreed between Cognexo and the Customer under the Customer Agreement.
Unless stated otherwise, the Platform and all content on it — including software, text, questions, graphics, logos and underlying design — is owned by or licensed to Cognexo and is protected by copyright, database rights, trade mark rights and other intellectual property laws.
We grant you a limited, personal, non-transferable, non-exclusive right to access and use the Platform for the purposes of your work, for as long as your access is authorised. You may not copy, modify, distribute, sell, sub-licence, reverse engineer or otherwise exploit the Platform or its content except as expressly permitted by these Terms, by law, or with our prior written consent.
Any feedback, suggestions or ideas you send us about the Platform may be used by us for any purpose, without payment or attribution to you, unless we agree otherwise in writing.
When using the Platform, you agree not to:
attempt to gain unauthorised access to any part of the Platform, another user’s account, or our systems;
use automated tools, such as bots or scrapers, to access or extract data from the Platform, except where we have agreed this with the Customer;
upload or transmit anything containing viruses or other harmful code, or that is unlawful, defamatory, discriminatory or abusive;
attempt to reverse engineer, decompile or interfere with the security or operation of the Platform;
use the Platform to harass, threaten or harm another person; or
use the Platform for any purpose other than the workforce readiness purposes for which it is provided to you.
If we reasonably believe you have breached this section, we may suspend or remove your access, and will normally tell your employer why.
Some parts of the Platform may let you submit answers, comments or free-text responses — for example, in a Survey. You are responsible for making sure anything you submit is accurate, not misleading, and does not infringe anyone else’s rights or break the law. Depending on how you [Customer] have configured the Platform, your responses may be visible to nominated administrators or managers within your organisation.
We do not claim ownership of anything you submit, but by submitting it you allow us to use it for the purposes of operating the Platform and providing the service — for example, showing you and your managers your progress, or generating aggregated reporting.
Personal data — such as your name, email address, and your responses and results on the Platform — is processed in accordance with UK data protection law, including the UK GDPR and the Data Protection Act (2018).
In most cases, the Customer (typically your employer) is the controller of their personal data for the purposes of the Platform, and Cognexo processes it on the Customer’s behalf and instructions, under a data processing agreement between Cognexo and the Customer. This means the Customer is primarily responsible for telling us how their data is used, and for handling any request you make about it, such as a subject access request, although we will support them in doing so.
Full details of how we handle personal data are set out in our Privacy Policy, which forms part of these Terms.
Access to the Platform is provided to you as an Authorised User at no direct cost to you. Fees for the Platform are agreed and payable by the Customer under the Customer Agreement. You are not required, and should not be asked, to provide any payment details in order to use the Platform in your capacity as an Authorised User.
We may suspend or terminate your access to the Platform, in whole or in part, if:
your employer instructs us to — for example, following the end of your employment;
the Customer Agreement between Cognexo and your employer ends or is suspended;
we reasonably believe you have breached these Terms; or
we need to do so to protect the security, integrity or availability of the Platform.
Where reasonably possible, we will notify your employer of any suspension or termination of your access and the reason for it.
We may make changes to the Platform to reflect changes in technology, our users’ needs, or legal and regulatory requirements. We will aim to keep the Platform’s core functionality consistent with what the Customer has subscribed to, and will follow any change process set out in the Customer Agreement for material changes.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded under English law.
Subject to that, the Platform is provided on an “as available” basis. We do not warrant that the Platform will be uninterrupted, error-free or completely secure, and we are not liable for loss you suffer as a result of matters outside our reasonable control, or that arise from your, the Customer’s, or a third party’s misuse of the Platform.
Because Cognexo’s commercial relationship is principally with the Customer, financial limits on liability, and provisions dealing with indirect or consequential loss, are set out in the Customer Agreement between Cognexo and the Customer, and apply as between those parties. As an individual Authorised User, you should not expect to bring a personal financial claim against Cognexo arising from your use of the Platform, save in respect of the matters in the first paragraph of this section, or as otherwise required by law.
You agree to compensate us for any loss or damage we suffer as a direct result of your deliberate misuse of the Platform in breach of Section 7 (Acceptable use), except where that loss arises from our own negligence or breach of these Terms.
These Terms, and any dispute arising out of or in connection with them, including non-contractual disputes, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute, except that we may bring proceedings to protect our intellectual property rights in any competent jurisdiction.
If you are an Authorised User based in Scotland or Northern Ireland, you may also be able to bring proceedings in the courts of the country in which you live, and any mandatory local protections that apply to you are not affected.
If you have a concern about the Platform, we would encourage you to raise it with your organisation’s Cognexo administrator in the first instance, as they will often be best placed to help. You are also welcome to contact us directly using the details in Section 18.
Entire agreement: these Terms, together with our Privacy Policy and, where applicable, the Customer Agreement, form the entire agreement about your use of the Platform as an Authorised User.
Severability: if any part of these Terms is found to be unenforceable, the rest will remain in effect.
No waiver: if we do not enforce a right under these Terms, that does not mean we have given it up.
No partnership: nothing in these Terms creates a partnership, joint venture or employment relationship between you and Cognexo.
Assignment: we may transfer our rights and obligations under these Terms to another organisation, for example as part of a reorganisation or sale of our business, provided this does not materially reduce your rights.
Third-party rights: except for the Customer, a person who is not a party to these Terms has no right to enforce any of its terms under the Contracts (Rights of Third Parties) Act 1999.
